These Terms and Conditions govern business-to-business purchases, quotations, orders, manufacturing, quality control, delivery, and use of OneWPC's website and services.

1 About These Terms

These Terms and Conditions apply to the website OneWPC.com and to quotations, pro forma invoices, sales contracts, purchase orders, product orders, samples, manufacturing services, quality inspections, documentation, and shipping services supplied by OneWPC.

In these Terms, “OneWPC,” “we,” “us,” and “our” refer to the OneWPC business supplying the relevant quotation, invoice, product, or service. “Customer,” “buyer,” “you,” and “your” refer to the business purchasing or requesting products or services from OneWPC.

By submitting an inquiry, approving a quotation, issuing a purchase order, paying a deposit, paying an invoice, or accepting delivery, you confirm that you have read and accepted these Terms.

2 Business-to-Business Sales

OneWPC supplies products and services primarily on a business-to-business basis. Our customers may include door manufacturers, building-material distributors, project contractors, wholesalers, importers, and commercial buyers.

By placing an order, you represent that you are acting for commercial or professional purposes and that you have authority to bind the purchasing business.

Consumer cancellation rights, cooling-off periods, and other consumer-specific protections do not apply except where they cannot legally be excluded.

3 Products and Services

OneWPC may supply or coordinate products including:

  • WPC door core and door-board materials.
  • WPC door frames, architraves, and related profiles.
  • U-shapes and compatible structural components.
  • PVC laminate film and decorative surface materials.
  • Edge-banding film.
  • PUR glue and compatible adhesive products.
  • Colour matching and finish coordination.
  • Product testing and quality-control services.
  • Packaging, consolidation, documentation, and shipping support.
  • Other door-production materials agreed in writing.

The exact products, quantities, specifications, finishes, services, and commercial terms for each order will be stated in the applicable quotation, pro forma invoice, sales contract, approved sample, or purchase order confirmation.

4 Quotations and Order Acceptance

A quotation is an invitation for the customer to place an order and does not obligate OneWPC to supply products until the order has been accepted in writing and any required deposit has been received.

Quotations may include an expiry date. If no expiry date is stated, OneWPC may revise or withdraw the quotation at any time before order acceptance.

An order becomes binding when OneWPC confirms the order in writing, issues an accepted pro forma invoice or sales contract, or begins production after receiving the required payment.

Any customer purchase order terms that conflict with these Terms will not apply unless OneWPC expressly accepts them in writing.

5 Product Specifications

The customer is responsible for confirming all commercial and technical specifications before production begins. Specifications may include:

  • Dimensions, thickness, density, weight, and composition.
  • Colour, pattern, gloss level, texture, and finish.
  • Profile design and dimensional tolerances.
  • Packaging, labelling, logo, and private-label requirements.
  • Performance, testing, and certification requirements.
  • Required application, production method, and end-use conditions.
  • Destination-country standards or import requirements.

Production will follow the specifications, samples, drawings, colour references, and documents approved by the customer.

The customer must carefully review all drawings, specifications, samples, artwork, colour references, packaging details, and order quantities before providing final approval.

6 Samples and Colour Matching

Samples are provided for evaluation and approval. Unless otherwise agreed, samples are indicative of general appearance and performance and may not represent every characteristic of a full production run.

Where colour or finish matching is required, the customer must approve a physical sample, colour code, digital reference, printed proof, or other agreed standard before production.

Minor differences may occur between samples and production batches due to raw-material characteristics, production conditions, lighting, display settings, printing methods, surface texture, and accepted manufacturing tolerances.

Products manufactured at different times may also show minor batch variation. Customers should order sufficient quantities for the same project or production requirement whenever consistent appearance is critical.

7 Prices, Taxes, and Currency

Prices are stated in the currency shown in the relevant quotation or invoice. Unless expressly included, prices do not include:

  • Import duties or customs charges.
  • Destination taxes or value-added tax.
  • Customs-clearance costs.
  • Bank charges or payment-processing fees.
  • Inspection fees requested by the customer.
  • Freight, insurance, storage, or destination charges.
  • Special certificates, testing, or legalization expenses.

If raw-material, energy, labour, exchange-rate, freight, tax, or regulatory costs change materially before order acceptance, OneWPC may revise the quotation.

After an order is accepted, a price may be adjusted where the customer changes the quantity, specifications, packaging, destination, delivery method, or other order requirements.

8 Payment Terms

Payment terms will be stated in the quotation, pro forma invoice, sales contract, or invoice. Unless otherwise agreed in writing, production will not begin until the required deposit or advance payment has been received.

Any remaining balance must be paid according to the agreed payment schedule and, where specified, before shipment or release of shipping documents.

Payments must be made to the bank account or payment method stated on the official OneWPC invoice. The customer must verify any request to change payment details directly with OneWPC through a previously confirmed communication channel.

The customer is responsible for bank charges, intermediary bank fees, currency conversion costs, and other transfer expenses unless agreed otherwise.

OneWPC is not responsible for payments sent to an unauthorized, incorrect, or fraudulent bank account where the customer failed to verify changed payment instructions.

9 Production and Lead Times

Production and delivery lead times are estimates unless expressly confirmed as fixed in writing. A lead time normally begins only after:

  • The required payment has been received.
  • All specifications have been confirmed.
  • Samples, colours, artwork, and packaging have been approved.
  • Required customer documents have been provided.
  • Any technical or compliance questions have been resolved.

OneWPC may provide published or estimated lead times to support customer planning. Such lead times may change due to production capacity, raw-material availability, order amendments, public holidays, inspection requirements, shipping schedules, customs procedures, or events beyond our reasonable control.

OneWPC will use commercially reasonable efforts to notify the customer of a material expected delay.

10 Quality Control and Testing

OneWPC conducts quality-control procedures based on the product, approved specifications, applicable inspection plan, and agreed tolerances.

Quality-control activities may include:

  • Raw-material or composition review.
  • Dimensional and visual inspection.
  • Colour and finish comparison.
  • Density, weight, adhesion, or performance testing.
  • Batch sampling.
  • Packaging and quantity inspection.
  • Production or pre-shipment inspection.

Unless a different inspection standard is agreed, acceptance will be based on commercially reasonable manufacturing tolerances and sampling procedures appropriate to the product.

If the customer requires a specific inspection standard, testing method, acceptable quality limit, third-party laboratory, or third-party inspection company, that requirement must be agreed before order confirmation. Additional costs may apply.

11 Certifications and Compliance

OneWPC may provide available test reports, audit records, certifications, declarations, or supporting technical documents for relevant products.

Unless expressly agreed in writing, OneWPC does not guarantee that a product or existing certificate satisfies every law, building code, fire standard, environmental requirement, customs rule, or technical standard in the customer's destination market.

The customer is responsible for identifying all destination-country, project-specific, import, labelling, registration, testing, and regulatory requirements before placing the order.

Special testing or certification requested by the customer may require additional time and cost.

12 Packaging and Labelling

Products will be packaged according to the agreed packaging specification or OneWPC's standard export packaging where no special packaging is specified.

The customer must provide accurate artwork, trademarks, barcodes, warnings, translations, destination labels, and legal labelling instructions within the required production schedule.

The customer confirms that it has the legal right to use all names, trademarks, logos, designs, images, and other materials supplied to OneWPC.

13 Delivery and Shipping

Delivery terms will be interpreted according to the Incoterms rule and edition stated in the applicable quotation, invoice, or sales contract.

Freight quotations are estimates unless expressly confirmed. Shipping costs may change because of carrier pricing, fuel surcharges, container availability, port congestion, destination charges, route changes, or other logistics conditions.

OneWPC may assist with booking freight, preparing documents, arranging consolidation, or coordinating shipment. Such assistance does not make OneWPC responsible for the independent actions of carriers, freight forwarders, ports, customs authorities, warehouses, or other third parties.

The customer must promptly provide all consignee information, import documents, licenses, certificates, and instructions required for shipment and customs clearance.

14 Risk, Title, and Insurance

Risk of loss or damage transfers according to the agreed Incoterms rule. If no Incoterms rule is stated, risk transfers when the products are handed to the first carrier or collected from the agreed shipping location.

Ownership of the products remains with OneWPC until full payment has been received, to the extent permitted by applicable law.

The customer is responsible for arranging cargo insurance unless the agreed delivery term or written quotation expressly requires OneWPC to arrange insurance.

15 Inspection on Receipt

The customer must inspect delivered products promptly after arrival and before processing, cutting, lamination, installation, resale, or incorporation into another product.

The customer must check:

  • Container, pallet, and packaging condition.
  • Product quantity and identification.
  • Visible transport damage.
  • Dimensions, colour, finish, and apparent quality.
  • Conformity with the approved specification.

Visible shortages or damage should be recorded on the carrier's delivery document and supported with clear photographs, videos, and relevant shipping records.

16 Claims and Non-Conforming Products

Claims relating to visible damage, shortage, incorrect products, colour, finish, or other apparent non-conformity must be submitted in writing promptly after delivery and before the products are processed or used.

A claim must include:

  • Order or invoice number.
  • Product name, batch, and affected quantity.
  • A detailed description of the reported issue.
  • Clear photographs and videos.
  • Measurements, inspection reports, or test results where relevant.
  • Packaging, container, and shipping-condition evidence.
  • Samples where reasonably requested.

The customer must preserve affected products and allow OneWPC a reasonable opportunity to inspect, test, or investigate them.

The customer must not destroy, return, rework, sell, process, or dispose of disputed products without OneWPC's written authorization where doing so would prevent proper investigation.

17 Remedies

If OneWPC confirms that products materially fail to meet the agreed specification for reasons attributable to OneWPC, the available remedy will be determined according to the nature and extent of the confirmed issue.

At OneWPC's reasonable option, the remedy may include:

  • Replacement of confirmed defective products.
  • Repair or reworking where commercially reasonable.
  • A credit against a future order.
  • A reasonable price adjustment.
  • A refund for the confirmed affected product value.

Unless required by applicable law or agreed in writing, OneWPC is not responsible for removal, installation, reinstallation, project delay, labour, site costs, customer penalties, lost production, or other indirect expenses.

18 Exclusions

OneWPC is not responsible for problems caused by:

  • Incorrect storage, handling, transport, or installation.
  • Exposure to unsuitable temperature, humidity, sunlight, or chemicals.
  • Use outside the approved application or operating conditions.
  • Customer-supplied specifications, designs, artwork, or materials.
  • Mixing products from different batches without prior testing.
  • Incompatible machinery, glue, film, coating, or processing settings.
  • Unauthorized modification, reworking, or repair.
  • Normal wear, ageing, or commercially acceptable variation.
  • Failure to perform incoming inspection before use.
  • Failure to follow instructions or technical recommendations.

19 Customer Testing and Production Trials

The customer is responsible for conducting suitable production trials, compatibility tests, and performance evaluations before using products in full-scale manufacturing.

This is particularly important for films, adhesives, edge-banding materials, coatings, profiles, and components used with the customer's machinery, temperatures, pressures, speeds, substrates, and production processes.

Technical recommendations provided by OneWPC are based on available information and do not replace the customer's responsibility to test the product under actual production and end-use conditions.

20 Order Changes and Cancellation

Once an order has been accepted, changes or cancellation require OneWPC's written approval.

If approved, the customer must pay all costs already incurred, including raw materials, production work, custom tooling, printing, packaging, testing, storage, cancellation charges, and supplier commitments.

Deposits for custom-made, private-label, specially coloured, printed, cut-to-size, or otherwise customized products may be non-refundable after materials have been ordered or production has started.

21 Storage and Uncollected Goods

If completed products cannot be shipped or collected because of the customer's delay, missing payment, missing documents, or failure to provide instructions, OneWPC may charge reasonable storage, handling, insurance, container, demurrage, or related costs.

The estimated delivery date may be revised, and OneWPC will not be responsible for deterioration, packaging damage, or additional costs caused by extended storage beyond the agreed period.

22 Intellectual Property

OneWPC retains all rights in its website, product information, technical materials, photographs, drawings, specifications, reports, designs, branding, and other content unless otherwise agreed in writing.

The customer may not copy, publish, distribute, reverse engineer, or commercially use OneWPC's confidential or proprietary materials except as required to evaluate, purchase, use, or resell the relevant products.

The customer grants OneWPC permission to use customer-supplied trademarks, logos, artwork, drawings, and specifications solely to manufacture, label, package, document, and deliver the customer's order.

23 Confidentiality

Each party may receive confidential commercial or technical information from the other party. Confidential information may include prices, formulas, samples, specifications, drawings, customer information, supplier information, production methods, and business plans.

Each party must use reasonable measures to protect confidential information and use it only for the relevant business relationship, except where disclosure is legally required or the information is already public through no breach of confidentiality.

24 Website Information

OneWPC aims to keep its website accurate and current. However, website descriptions, images, specifications, technical information, certificates, product availability, and lead times are general information and may change without notice.

Product images may appear different because of screen settings, photography, lighting, material texture, and production variation. A written quotation and approved specification take priority over general website content.

25 Acceptable Website Use

You must not use the OneWPC website to:

  • Break any applicable law or regulation.
  • Submit false, misleading, or fraudulent information.
  • Attempt unauthorized access to systems or accounts.
  • Introduce malware or harmful code.
  • Interfere with website security or availability.
  • Copy or scrape website content for unauthorized commercial use.
  • Impersonate another person or business.
  • Infringe intellectual-property or privacy rights.

OneWPC may restrict or block access where misuse, fraud, security risk, or unlawful activity is reasonably suspected.

26 Limitation of Liability

To the maximum extent permitted by applicable law, OneWPC will not be liable for indirect, incidental, special, punitive, or consequential loss, including:

  • Loss of profit, revenue, business, contracts, or opportunity.
  • Loss of production or manufacturing downtime.
  • Project delay or customer penalties.
  • Loss of goodwill or reputation.
  • Loss of data or anticipated savings.
  • Removal, installation, or replacement labour.

To the maximum extent permitted by law, OneWPC's total liability arising from a specific order will not exceed the amount paid by the customer for the specific products or services giving rise to the confirmed claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

27 Indemnification

The customer agrees to indemnify OneWPC against third-party claims, losses, liabilities, and reasonable costs arising from:

  • Customer-provided designs, branding, instructions, or specifications.
  • Infringement caused by customer-supplied trademarks or artwork.
  • Improper processing, installation, modification, or resale.
  • Failure to comply with destination-country laws or standards.
  • Misleading claims made by the customer about the products.
  • The customer's breach of these Terms.

28 Force Majeure

OneWPC will not be liable for delay or failure caused by events beyond its reasonable control, including:

  • Natural disasters, fire, flood, earthquake, or severe weather.
  • War, civil unrest, terrorism, sanctions, or government action.
  • Epidemics, pandemics, quarantine, or public-health restrictions.
  • Power shortages, utility failure, or industrial accidents.
  • Strikes, labour shortages, or transport interruption.
  • Port congestion, carrier delay, or container shortages.
  • Customs delay, export controls, or import restrictions.
  • Raw-material shortages or supplier disruption.
  • Cyberattacks or telecommunications failure.

Delivery schedules will be extended for a reasonable period reflecting the effect of the event.

29 Suspension and Termination

OneWPC may suspend production, shipment, documents, services, or further orders if:

  • Payment is overdue.
  • The customer breaches the agreed terms.
  • Fraud, sanctions, or compliance concerns arise.
  • The customer becomes insolvent or unable to pay its debts.
  • Continuing the order may violate applicable law.
  • Required information or approvals are not provided.

Suspension does not remove the customer's obligation to pay amounts already due or costs already incurred.

30 Sanctions and Trade Compliance

The customer confirms that it will comply with applicable export controls, trade restrictions, customs rules, anti-bribery laws, and sanctions requirements.

OneWPC may refuse, suspend, or cancel a transaction where it reasonably believes that the transaction, destination, end user, payment, product, or intended use may violate applicable law or expose OneWPC to regulatory risk.

31 Communications

Business communications may take place by email, website forms, telephone, video conference, or approved business-messaging platforms.

The customer is responsible for providing accurate contact information and notifying OneWPC of changes.

Important commercial terms, specification approvals, order changes, claims, and cancellation requests should be confirmed in writing.

32 Privacy

Personal information submitted through the website or during a business transaction is handled according to the OneWPC Privacy Policy.

The Privacy Policy forms part of the terms governing use of the OneWPC website.

33 Governing Contract Documents

If documents relating to an order conflict, the following order of priority will generally apply unless otherwise agreed in writing:

  1. A signed sales contract or specifically negotiated agreement.
  2. The final accepted pro forma invoice or order confirmation.
  3. The approved technical specification, sample, or drawing.
  4. These Terms and Conditions.
  5. Other general website information or communications.

34 Governing Law and Disputes

The governing law, court jurisdiction, or arbitration arrangement for a particular transaction may be stated in the applicable sales contract, quotation, pro forma invoice, or order confirmation.

Where a dispute arises, both parties should first attempt to resolve it through good-faith commercial discussions and exchange relevant evidence.

If no specific governing-law or dispute-resolution provision has been agreed for the order, the parties will determine an appropriate forum based on the contracting OneWPC entity and the circumstances of the transaction.

35 General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

A delay or failure by OneWPC to enforce a right does not waive that right.

The customer may not assign an order or agreement without OneWPC's prior written approval. OneWPC may use qualified manufacturers, laboratories, logistics providers, subcontractors, or other service providers to fulfil an order.

These Terms, together with the applicable quotation, invoice, specification, approved sample, and written order confirmation, represent the agreement between the parties concerning the relevant transaction.

36 Changes to These Terms

OneWPC may update these Terms from time to time to reflect changes in products, services, business practices, legal requirements, or website functionality.

Updated Terms will be published on this page with a revised “Last updated” date. The version accepted when an order is confirmed will normally continue to govern that order unless the parties agree otherwise.
